1. Agreement to Terms
These Terms of Service ("Terms") are a binding agreement between you and SpotRez ("SpotRez," "we," "us," or "our"). The legal entity that operates SpotRez is identified in Section 19. By creating an account, making a purchase, or using the SpotRez website and service (the "Service"), you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.
2. Service Description
SpotRez is a restaurant reservation availability monitoring and alert service. We monitor publicly accessible reservation data and notify you when openings matching your criteria are detected. We provide direct links to official booking pages so you can make your own reservation.
We do not book, reserve, or hold tables on your behalf; guarantee any reservation will still be available when you attempt to book; or access, store, or use your credentials for any third-party booking platform.
The Service depends on third-party restaurant booking platforms that may change their systems, restrict access, or experience downtime at any time, which may affect the Service's functionality. We do not control these platforms.
3. Non-Affiliation Disclaimer
SpotRez is not affiliated with, endorsed by, sponsored by, or officially connected with The Walt Disney Company, Walt Disney World Resort, Disneyland Resort, or any of their subsidiaries. SpotRez is also not affiliated with Resy, OpenTable, or any restaurant monitored by the Service. All restaurant names and trademarks are the property of their respective owners and are used solely to identify monitored establishments (nominative fair use).
4. Eligibility and Accounts
You must be at least 18 years old (or the age of majority in your jurisdiction, if higher) to use the Service. By using the Service, you represent that you meet this requirement.
To access paid features, you must create an account through Clerk, our authentication provider, using your email address or Google OAuth. You are responsible for maintaining the security of your credentials and for all activity under your account.
Each person may maintain only one account. Creating multiple accounts to exploit the free starter watch, promotions, or evade a suspension is grounds for immediate termination.
5. Passes and Watches
One watch monitors one restaurant on one calendar date until a matching availability is detected or the pass expires.
The Service is sold as one-time passes only. There is no subscription, no automatic renewal, and nothing to cancel. A pass grants a fixed bucket of watches at a fixed alert speed for a fixed validity window. See the Pricing page for current passes, prices, and watch counts. The Free starter pass is included with every account and provides one watch that never expires.
All payments are processed by Stripe. Pass purchases are charged once at the time of purchase. Watches are non-transferable, have no cash value, and may not be redeemed for currency. Unused watches expire when the pass expires (the Free starter watch never expires).
6. Pre-Purchase Acknowledgment
Before completing a paid pass purchase, you must affirmatively acknowledge that watches are spent at watch creation, cannot be edited, are not refunded if you delete a watch, and that unused watches expire when the pass expires. The Pay button is disabled until you acknowledge.
The pre-purchase screen clearly displays the pass name, watch count, validity window, and total one-time price before you authorize the charge.
7. No Subscription, No Cancellation
SpotRez does not sell subscriptions. There is no recurring charge, no auto-renewal, and no cancellation flow because there is nothing to cancel. When a pass expires or runs out of watches, you decide whether to purchase another pass.
8. Refunds
Passes are non-refundable once purchased. Service disruptions, billing errors, and other situations are reviewed case by case. Full details are in our Refund Policy, which is part of these Terms.
9. Acceptable Use
You agree not to:
- Resell, redistribute, or commercially exploit alerts or data from the Service
- Use bots, scrapers, or automated tools to access the Service except through interfaces we provide
- Share your account credentials with others
- Reverse-engineer, decompile, or derive the source code of the Service
- Interfere with or place an unreasonable burden on the Service's infrastructure
- Circumvent rate limits, access controls, or security measures
- Create multiple accounts to exploit the free starter watch, promotions, or other restrictions
We may suspend or terminate accounts that violate these rules, with or without prior notice.
10. Intellectual Property
All content, software, and materials comprising the Service are owned by us or our licensors and are protected by copyright, trademark, and other intellectual property laws. You retain ownership of content you provide (such as alert preferences) and grant us a limited, non-exclusive license to use it solely to operate the Service.
11. Third-Party Services
The Service integrates with third-party platforms including restaurant booking websites, Stripe (payments), Clerk (authentication), and notification delivery services. We are not responsible for the availability, accuracy, or terms of any third-party platform. When you follow a link to a booking platform, that platform's terms govern.
12. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Reservations may be taken by others before you can act on an alert. We do not guarantee that any reservation will be available when you attempt to book. Alert speed and delivery depend on factors outside our control, including third-party platform performance and notification infrastructure.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- Aggregate cap. Our total liability for all claims related to the Service shall not exceed the greater of (a) the amount you paid us in the 12 months before the event giving rise to the claim, or (b) US $50.
- No consequential damages. We are not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, missed reservations, or alert delivery failures, whether based on warranty, contract, tort, or any other theory.
Nothing in these Terms excludes liability for fraud, willful misconduct, or anything that cannot be excluded by law.
14. Indemnification
You agree to indemnify and hold harmless us and our officers, employees, and agents from third-party claims directly resulting from your willful violation of these Terms or your use of the Service in violation of applicable law. This obligation is limited to the greater of (a) the amounts you have paid us in the 12 months before the claim, or (b) US $50, and does not apply to claims arising from our own negligence or misconduct.
15. Disputes
If you have a dispute, contact us at legal@spotrez.com first. We will make a good-faith effort to resolve it within 30 days. If we cannot, the dispute will be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. Arbitration will take place in the United States by phone or video unless both parties agree otherwise. The Federal Arbitration Act governs the interpretation and enforcement of this provision.
You and SpotRez each waive any right to a trial by jury or to participate in a class action. Either party may bring an individual claim in small claims court for disputes within that court's jurisdiction in lieu of arbitration.
16. Changes to Terms
We may modify these Terms. For material changes, we will email you at least 30 days before they take effect and post the updated Terms here with a revised date. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree to a change, stop using the Service and delete your account (Section 17) before the effective date. Non-material changes (typos, formatting) may be made without notice.
17. Termination
By you: Delete your account at Dashboard, then Account, then "Delete My Account." Because passes are one-time and there is no subscription, there is nothing to cancel before deletion. Account deletion is processed per our Privacy Policy.
By us: We may suspend or terminate your account for Terms violations, fraud, legal requirements, or if we discontinue the Service.
Termination for cause (your violation): unused watches are forfeited with no refund. Service discontinuation (our decision): we will give 30 days' notice. Because purchases are one-time and non-refundable, no refund is owed for unused watches on discontinuation; any courtesy accommodation is at our discretion and reviewed via support@spotrez.com.
18. General
If any provision is unenforceable, it will be modified to the minimum extent necessary; the remaining provisions continue in effect. These Terms, the Privacy Policy, and the Refund Policy constitute the entire agreement. Our failure to enforce any provision is not a waiver. Sections 3, 10, 12, 13, 14, 15, and 18 survive termination.
We are committed to making the Service accessible in accordance with WCAG 2.1 Level AA guidelines. If you encounter an accessibility barrier, contact support@spotrez.com.
